Pippies Freelance Contributor Agreement
In consideration of the mutual covenants made herein, the parties agree as follows:
Relationship. The parties expressly agree and acknowledge that the relationship created by this Agreement is one of an independent Contractor (i.e Pippies Contributor) and party commissioning works for hire (Client). The Contributor acknowledges and agrees that (i) the Contributor is solely responsible for the manner and form by which the Contributor performs under this Agreement, and (ii) the Contributor is a self-employed individual, who performs services similar to the Services for various entities and individuals other than the Client. The Contributor is responsible for the withholding and payment of all taxes and other assessments arising out of the Contributor’s performance of services hereunder, and neither the Contributor nor any of the Contributor’s employees or independent Contributors shall be entitled to participate in any employee benefit plans of the Client. The Contributor will not have the authority or represent themself as having the authority to bind or obligate the Client in any manner whatsoever except for the terms set forth within this Agreement.
Services to be Provided by the Contributor. The Contributor agrees to upload articles, photos, videos’ music, surveys or any other digital content on the Pippies website (www.pippies.org) (hereafter referred to as “Posts”) into topics created by the Client on the Pippies website. The Contributor will submit Posts in accordance with any deadlines agreed upon by both the Client and the Contributor and in a form satisfactory to the Client.
Changes to Material Submitted by the Contributor. The Contributor agrees that the Client may make any changes or additions to the Post(s) prepared by the Contributor, which the Client in its sole discretion may consider necessary, and may engage others to do any or all of the foregoing, with or without attribution to the Contributor.
Representations and Warranties of the Contributor. For each and every Post the Contributor submits to the Client, the Contributor represents and warrants that he or she is the sole author of the Post and the Post: (a) is the Contributor’s original work; (b) if it is not the Contributor’s original work, the Contributor has explicit written approval and consent from the original author to upload the original work on the Pippies website.
Indemnification. The Contributor will indemnify and hold the Client harmless for any claims, matters, complaints, liabilities and actions arising out of Client’s engagement of the Contributor, including but not limited to the Contributor’s failure to comply with applicable laws, rules and regulations concerning the withholding and payment of taxes in connection with services rendered to the Client pursuant to this Agreement.
Compensation. The Client agrees to pay the Contributor income based on the following commission and payments structure. The Client may alter the commission and payments structure at their discretion with changes to the structure published on the Pippies website under the Freelance Contributor Agreement,. All changes to the commission and payments structure will take effect 14 days after publication and communication of the changes. As 100% of the income coming in through Posts goes to the Post Creator, Sharer and Referrer, (and in order to minimize admin, transaction and payment processing costs), all commissions owing to the Contributor (i.e. you) will accumulate in your Pippies account until the amount owing to you exceeds $100USD. When this occurs the amount owing to you will be transferred to your Paypal, Stripe or Bank Account within 10 business working days of it reaching that threshold. This payment structure is in place so that we can pass on as much income to you as possible without being eroded by unnecessary charges and costs. The following commission structure applies to the Pippies Freelance Contributor. Should a Contributor decide to change their Contributor Option mid-month, the commission, service and support structure for the new plan will apply on the 1st day of the next month. All newly registered Contributors are automatically classified as Pippies Activists and the commission structure and services associated with that plan, (such as disk space, no. of posts and shares, support response time etc). The Contributor may remain as a (free) Activist for as long as they like and receive the exact same Post donation commission structure as other service plans. It is the Contributors sole discretion if they wish to change from an Activist to an Ambassador or Champion and receive the additional products and services associated with the Ambassador or Champion option, (such as editor assistance, dedicated support and additional storage etc). From time-to-time Pippies may run Referral Payment Promotions to encourage Contributors to refer new Contributors to Pippies. The terms and conditions of these promotions will be communicated to Contributors at the time of the promotion and it is solely up to the Contributor if they wish to participate. Taxes. As an Independent Contractor, the Contributor shall be responsible for the reporting, deposit and payment of any and all federal, state, and local taxes, including but not limited to income taxes, FICA taxes, and unemployment taxes incidental to the performance of, or payment under this Agreement. As required by law, the Contributor will provide the Client with their IRS Tax Identification Number (TIF) in the form of a Social Security Number (SSN) or Employer Identification Number (EIN).
Contract Period and Termination. This agreement will begin on the date set forth above and shall continue until terminated in writing by either party. Either party may terminate this Agreement at any time for any or no reason, effective upon thirty (14) days written notice. If either party violates a term of this Agreement, then the other party (the “Non-breaching Party”) may terminate this Agreement effective immediately upon delivery of written notice of termination by the Non-breaching Party.
Confidentiality: The Contributor acknowledges that he/she may be furnished or may otherwise receive or have access to information which relates to the Client’s past, present or future products, vendor lists, creative works, marketing strategies, pending projects and proposals, and other proprietary information which gives the Client an opportunity to acquire an advantage over its competitors who do not know or use it (the “Proprietary Information”). The Contributor agrees to preserve and protect the confidentiality of the Proprietary Information. In addition, the Contributor shall not disclose or disseminate the Proprietary Information to any third party.
Assignment and Ownership of Intellectual Property. The Contributor expressly acknowledges that the original Post(s) uploaded by the Contributor remains the property of the Contributor, however, the Contributor grants the Client the right to use, copy, archive, edit, repackage, revise, market or promote any Post created by the Contributor in any manner as the Client sees fit.
Choice of Law. This Agreement shall be construed and enforced pursuant to the laws and decisions of the State of California.
Miscellaneous. This Agreement shall not be amended, modified or changed in any respect except by written agreement of the parties. No trade, custom or usage shall affect this Agreement or the terms and conditions thereof. This Agreement incorporates the entire understanding of the parties and supersedes any and all prior agreements, oral or written, relating to Contributors relationship with the Client and is intended as a complete and exclusive statement of the terms of the arrangement between the parties.
